Distance Sales Agreement

Article 1 – Parties

This Agreement is concluded electronically between Devolay Yazılım Mühendislik Ticaret Limited Şirketi (the “Platform” or the “Company”) and the natural or legal person (the “Member”) who completes registration at www.devolay.com (the “Site”).

By completing registration, the Member declares that they have read, understood and accepted all terms set out in this agreement.

Article 2 – Subject and scope

This Agreement governs the rights, obligations and responsibilities of the parties in relation to the online education services offered through the Devolay Platform, expert–member relations, and the creation, publication and use of content.

Users who join the Platform may benefit from the services either as a member or as an expert.

Article 3 – Membership conditions

  • The Member is obliged to provide accurate, complete and up-to-date information during registration.
  • The Member is responsible for protecting their username and password and may not share them with third parties.
  • Devolay reserves the right to reject a membership application, or to suspend or terminate a membership, where it deems necessary.

Article 4 – Description of the service

Devolay is an interactive online education platform where digital training videos, documents, live training sessions and other materials created by experts are made available to members.

The Platform is responsible for:

  • hosting and presenting content and providing members with access to it,
  • operating the payment and commission systems,
  • managing the technical infrastructure, security and user experience.

Article 5 – Pricing and payment

  • The prices of paid materials are clearly stated on the relevant pages.
  • Payments are made through a secure payment infrastructure.
  • Payments are transferred to the expert in the determined periods and in accordance with applicable legislation.
  • Digital content is not subject to the right of withdrawal under Article 15 of the Turkish Distance Contracts Regulation.
  • Devolay reserves the right to change its pricing policy.

Article 6 – Intellectual and industrial property rights

  • All intellectual and economic rights in all videos, images, documents, texts and similar materials on the Platform belong to Devolay.
  • Members may not copy, reproduce or commercially exploit the content.

Article 7 – Obligations of the member and the expert

  • to use the Platform for lawful purposes only,
  • to respect intellectual property rights,
  • not to share spam, malware or unlawful content,
  • the expert is obliged to produce only original content,
  • the member is obliged only to make use of the content.

Article 8 – Privacy and protection of personal data

Article 9 – Termination of the agreement

  • The Member may close their account at any time.
  • Devolay may terminate the membership in the event of a breach of the agreement.
  • Termination does not extinguish obligations that have already arisen.

Article 10 – Limitations of liability

  • Devolay is not liable for damages arising from technical failures.
  • The accuracy of expert content is the responsibility of the expert.
  • The Platform cannot be held liable for indirect or direct damages.

Article 11 – Evidential agreement

In disputes that may arise from the agreement, Devolay’s records constitute conclusive evidence.

Article 12 – Governing law and competent court

The agreement is governed by Turkish law. The competent courts are the Courts of Ankara.

Article 13 – Entry into force

  • The agreement enters into force upon completion of the membership form.
  • Devolay may make such amendments to the agreement as it deems necessary.
